Saif Ali Jones is named as the member of the company and is granted the appropriate authority to act on its behalf. The company’s Initial Resolutions formally recognize its Articles of Organization as part of its official records and adopt general operating agreement provisions governing the company. These resolutions also recognize the member’s rights and liability protections provided to a limited liability company under applicable state law.
